These Terms of Service ("Terms") are between you ("User" — an event organizer or contributor) and Showgaze ("we," "us"). By accessing showgaze.app (the "Site") or using our media synchronization and analysis services (the "Services"), you agree to these Terms. Showgaze is a media processing service provider, not a rights clearance department.
Our handling of personal information is described in our Privacy Policy. By using the Services or uploading Content, you acknowledge that Content and associated metadata may be processed in accordance with that policy.
1. Eligibility & Acceptance
You must be at least 18 years of age, or have the permission of a parent or legal guardian, to use the Services. By using the Site or Services — including uploading footage via a QR code or link — you confirm that you are able to enter into a legally binding agreement and that you accept these Terms. If you do not agree, do not use the Services.
2. Organizer Responsibility for Event Rights
Organizers are solely responsible for ensuring that they have all rights, permissions, licences, clearances, and approvals required to use the Services for a particular event. This includes, where applicable, permissions relating to:
- Artists & Performers: Authority to commission the workflow for the specific performance.
- Venue & Production: Ensuring the event allows audience footage collection and filming.
- Audio Rights: Rights to provide reference audio and use resulting outputs.
- Publication & Distribution: Responsibility for where and how final outputs are published or promoted.
Showgaze does not verify that an Organizer has obtained these rights and is not responsible for obtaining music, performance, venue, or publishing licences on behalf of Organizers.
3. Contributor Content — Ownership & Licences
Contributors retain ownership of the media they upload. By uploading Content to an event through Showgaze, you (the "Contributor") warrant that:
- You are allowed to upload the footage and possess the necessary rights to do so.
- The Content does not infringe upon the intellectual property or privacy rights of any third party.
- The Content is not private, abusive, explicit, illegal, or non-consensual.
3.1 Limited Processing Licence
You grant Showgaze a limited, non-exclusive, worldwide licence to host, store, copy, process, transcode, synchronise, analyse, moderate, edit, reframe, generate previews from, and deliver that Content for the purpose of operating the Services and producing event-related outputs.
3.2 Organizer Usage Licence
You grant the relevant Organizer a non-exclusive, worldwide licence to use the Content and processed outputs for event-related purposes, including production, review, documentation, promotion, archival use, and publication, unless the event upload page states otherwise.
4. Platform Licence & Restrictions
We grant you a limited, non-exclusive, non-transferable licence to access and use the Services for their intended purpose. You must not copy, reverse-engineer, or attempt to extract the source code of our software, and you must not use the Services in any way that violates applicable law.
5. Showgaze Obligations & Limitations
Showgaze provides the processing workflow and will take reasonable care with uploaded files. However, Showgaze does not guarantee:
- That every upload will be used or processed.
- Perfect synchronisation, technical detection, or final creative quality.
- The accuracy of automated analytics or reporting.
- Uninterrupted or error-free availability of the platform.
6. Warranty Disclaimer
The Services are provided "as is" and "as available." To the fullest extent permitted by law, Showgaze disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Nothing in these Terms excludes any guarantee or right that cannot lawfully be excluded under the Australian Consumer Law.
7. Limitation of Liability
To the fullest extent permitted by law, Showgaze's total liability to you for any loss or damage arising from your use of the Services is limited to the fees paid by you to Showgaze in the three months preceding the claim (or, if no fees were paid, AUD $100). We are not liable for any indirect, incidental, special, or consequential loss or damage. Nothing in these Terms excludes liability that cannot be excluded under the Australian Consumer Law or any other applicable mandatory law.
8. Termination
We may suspend or terminate your access to the Services if you breach these Terms or if we determine your use poses a risk to other users or to the platform. You may stop using the Services at any time. Upon termination, your right to use the platform ceases, but licences granted in relation to Content already submitted survive termination to the extent necessary for the relevant event organizer to complete their production.
9. Changes to These Terms
We may update these Terms from time to time. Where changes are material, we will notify you via email or a notice on the Site. Continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
10. International Use
Showgaze is operated from Australia. If you access or use the Services outside Australia, you are responsible for complying with any local laws that apply to your event, your uploads, your use of Content, your handling of personal information, and your publication or distribution of outputs. Nothing in these Terms limits rights or obligations that cannot legally be limited under applicable law.
11. Governing Law
These Terms are governed by the laws of Queensland, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Queensland for any dispute arising under these Terms, unless mandatory laws in your jurisdiction provide otherwise.
12. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Showgaze regarding the Services. If any provision is found to be unenforceable, the remaining provisions continue in full force.
