These terms govern the provision of media processing, synchronization, and production services ("Services") by Showgaze to you (the "Client" or "Organizer"). By accepting a quote in Zoho Books that references these terms, or by engaging Showgaze to provide Services, you agree to this Master Service Agreement.
1. Payment Terms
All Showgaze commercial engagements operate on a strict 50% upfront, 50% upon completion payment schedule, unless otherwise specified in your formal quote.
- 50% Upfront Deposit: Required to officially confirm the booking, secure the production date, generate custom QR codes, and provision the backend Dropbox storage infrastructure.
- 50% Final Balance: Required prior to the delivery of final, un-watermarked high-resolution video exports. You will receive a watermarked preview to verify the work before final payment.
2. Confidentiality
Showgaze's Obligations: We will keep all unreleased media, audio stems, stage plans, budgets, and internal event data strictly confidential. We will not publish or share your unreleased footage publicly without your prior written approval.
Your Obligations: You agree to keep Showgaze's proprietary workflows, synchronization methods, pricing, and technical platform designs confidential. You will not use our internal tools or workflows to build a competitive product.
3. Intellectual Property
Your IP: You retain full ownership of all underlying intellectual property rights in the event, the performances, and any reference audio provided. You represent that you have the right to authorize Showgaze to process this media.
Showgaze's IP: We retain all ownership rights to our software, synchronization engines, QR code generators, and internal processing pipelines. We grant you a perpetual, royalty-free licence to use the final delivered video exports for your own promotional and archival purposes.
4. Asset Retention Lifecycle
To manage infrastructure and security, we enforce a strict asset lifecycle policy. Following final delivery of your outputs, you will have a 30-day active window to download all un-watermarked assets. After this 30-day window, the raw video assets and project scratch files are permanently removed from our active cloud storage. We are not responsible for storing your raw footage indefinitely.
5. Publicity & Case Studies
Showgaze is proud of the work we do. We may request your permission to use a brief excerpt of the final approved video, along with your logo, as a case study in our portfolio or marketing materials. We will not do so without your prior written approval, which you agree not to unreasonably withhold.
6. Limitation of Liability
While we use robust workflows, live events are unpredictable. We do not guarantee that all audience members will upload footage, nor do we guarantee perfect synchronization in cases of extremely poor audio quality. Our total liability to you for any claim arising out of these Services will be limited to the total fees paid by you for the specific project in question. We are not liable for any indirect, special, or consequential damages.
7. Governing Law
This Agreement shall be governed by the laws of Queensland, Australia. Any disputes shall be resolved in the courts of Queensland.
